ADAENG LAND CO., LTD IS ONE OF PRIVATE LIMITED LIABILITY COMPANIES REGISTERED WITH MINISTRY OF COMMERCE OF CAMBODIA ON OCTOBER 21,2021. IT DOES REAL ESTATE ACTIVITIES WITH OWN OR LEASED PROPERTY, BUYING, SELLING, RENTING AND OPERATING OF SELF-OWNED OR LEASED REAL ESTATE.

It is a common knowledge in Cambodia’s real estate industry that foreigners cannot own land property in the country. Under Article 44 of the Cambodian Constitution, “only natural persons or legal entities of Khmer nationality shall have the right to land ownership.” .

Yet, since Cambodia is a country that attracts a lot of foreign investors, the question is “are there ways for foreigners to own or have the rights to land properties in the Kingdom?”  

Investors have the right to use land through economic land concessions or perpetual leases or leases for a fixed duration in accordance with the laws and regulations in force.

Responsibility

ADAENG LAND CO., LTD has investment options for you to make considerations.

OPTION 1: Investment only on the Land.  The Investor will invest the capital to purchase land under ADENG LAND Ltd, where Investor can

  1. Take hold of 49% of the shareholding of ADENG LAND ltd and 100% Management Control over the company through shareholder agreement.
  2. ADENG Development Ltd will give a Corporate guarantee to buy back or to get an investor to buy the Land for development at market price of the land after conversion within 1 year.

OPTION 2: ADENG LAND will purchase the Land and the JV Company will sign a Leasing agreement with ADENG Land for Leasing of 100 Years for the development of the project.

Our Vision

ADAENG LAND CO., LTD vision is to forming land holding company through a joint venture where the majority stake is a Cambodian and the minority stake of up to 49% is a foreigner. An LHC is legally able to purchase land and property in Cambodia. 

The 51% Cambodian shareholding can be held by ADAENG LAND, through a Power of Attorney and other legal instruments, give control of their 51% shareholding to the 49% minority foreign shareholder. Meaning to say, in setting up an LHC, the minority shareholder (which is the foreigner) has 100% of the rights to make the actions and decisions within the company. 

It is one of the lowest-risk options because the company and its assets can be configured to provide layers of security to the foreign shareholder or its lender. However, this approach carries the high registration fees, annual admin costs, and a potentially high tax burden when later disposing of the property asset.  

Our Mission

ADAENG LAND CO., LTD Mission is to take action on Real estate activities with own or leased property and Buying, selling, renting and operating of self-owned or leased real estate.

Now, ADAENG LAND CO., LTD is seeking investors who can invest with us for land purchase only and/or can cover 100% of project costs on our piped water supply, smart eco-city, solar farms, and one stop industrial services center.

Total land to be purchased for those projects is 774,118 hectares equal to $166 million US dollars while the cost of the projects in overall was estimated $1, 2 billion US dollars.
